This agreement is entered into by and between the person whose name is represented on this form (the “Lecturer”) and Medlantis Inc, a corporation formed under the laws of Canada having a head office located at 412 Dupont Street, Toronto, Ontario, Canada (“Medlantis”) and is effective as of the date this form is submitted.

For good and valuable consideration received, the Lecturer hereby grants to Medlantis and to its licensees, assignees, and other successors-in-interest, all rights of every kind and character, in perpetuity, in and to the Lecturer’s appearance, likeness, name, and/or voice (the “Appearance”) in connection with a demonstration, lecture, workshop, procedure, technique or similar presentation as captured by Medlantis (the “Digital Demonstration”).

Without limiting the foregoing, the Lecturer hereby authorizes Medlantis and waives all moral rights, to photograph, videotape, and record on any type of medium, the Appearance, to edit the same at its discretion and to include it with the appearances of others and with sound effects, special effects, digital effects, and music; to incorporate the same into the Digital Demonstration, other video, side, or other materials of programs to use and to license and sublicense to others to in Medlantis’ online education business as conducted now or in the future, including its assignees. Medlantis may assign this agreement without further consent from the Lecturer. The Lecturer further acknowledges that Medlantis owns all copyright or other rights to the Digital Demonstration.

This agreement constitutes the entire agreement by and between the Lecturer and Medlantis and supersedes all prior contracts, understandings, negotiations, and agreements with respect to Medlantis and the subject matter hereof, whether oral or written and shall be governed by the laws of Ontario and federal laws of Canada applicable therein.
